Affiliate Program - Terms & Conditions

This Affiliate Agreement governs participation in the Inspect Record affiliate program by any individual or business approved to promote Inspect Record memberships through Systeme.io. By applying to, enrolling in, or participating in the program, the affiliate agrees to be bound by this Agreement.

1. Purpose and Platform

Inspect Record uses Systeme.io to manage certain affiliate program functions, including affiliate identification, link generation, tracking, communications, invoices, and payout administration. In Systeme.io, affiliate links generally use the structure https://yourpagelink?sa=AFFILIATEID, and affiliate IDs and affiliate dashboard access may be delivered through automated email variables such as {affiliate_id} and {affiliate_dashboard}.

2. Definitions

For purposes of this Agreement:

·       Company means Inspect Record and its owners, operators, successors, and assigns.

·       Affiliate means any person or entity approved by the Company to participate in the Inspect Record affiliate program.

·       Platform means Systeme.io and any related tools, pages, dashboards, automations, or payment infrastructure used to administer the affiliate program.

·       Affiliate ID means the unique identifier assigned to an affiliate for tracking and attribution purposes through the Platform.

·       Qualified Sale means a completed purchase of an eligible Inspect Record membership that is properly tracked through the affiliate’s unique link or Affiliate ID, is fully paid, and is not canceled, refunded, reversed, charged back, fraudulent, self-referred, or otherwise disqualified under this Agreement.

·       Commission means the compensation payable to an affiliate for a Qualified Sale under the rates and rules established by the Company.

3. Enrollment and Approval

·       The Company may invite affiliates directly, accept affiliates through a dedicated affiliate opt-in or application page, or otherwise approve affiliates through Systeme.io workflows.

·       Systeme.io documentation states that a dedicated affiliate opt-in page is recommended so contacts can be identified separately and automatically tagged as affiliates for communication and workflow purposes.

·       Submission of an application or sign-up form does not guarantee approval.

·       The Company may approve, reject, suspend, or remove any applicant or affiliate at its sole discretion, subject to applicable law.

·       The affiliate must provide accurate, complete, and current information, including payment details when requested.

4. Independent Contractor Relationship

Affiliates are independent contractors. Nothing in this Agreement creates an employment, agency, partnership, joint venture, franchise, fiduciary, or legal representative relationship between the affiliate and Inspect Record. Affiliates may not bind the Company or represent that they have authority to act on the Company’s behalf.

5. Affiliate Links and Access

·       Each approved affiliate may be provided with a unique affiliate link, affiliate ID, and access to the affiliate dashboard through Systeme.io or by email.

·       Systeme.io states that affiliates can be sent their unique link by combining the destination page URL with ?sa={affiliate_id}, and the affiliate dashboard access link may be sent using the {affiliate_dashboard} variable.

·       The affiliate is responsible for using the correct approved link structure and for verifying that promotional links function properly.

·       Student-only course accounts on Systeme.io may not have access to the Affiliate Dashboard, so affiliate access must be structured through appropriate affiliate-enabled account workflows.

6. Program Structure and General Parameters

Unless the Company states otherwise in writing for a particular offer, campaign, or promotion, the affiliate program may use the operational framework commonly supported in Systeme.io, including configurable commission percentages, payout delays, minimum payout thresholds, and optional second-tier commission settings.

The Company may set different commission rules for different products, offers, order forms, or membership plans. Systeme.io documentation notes that affiliate commission settings can be configured globally and may also be modified at the order-form level, and that new order forms may default to 0% affiliate commission until updated.

7. Commissions

·       Affiliates earn Commissions only on Qualified Sales.

·       The Company will determine the applicable commission rate, whether recurring or one-time, and may publish or communicate that rate through Systeme.io, an affiliate dashboard, an application page, or written notice.

·       Systeme.io supports configurable default commissions, payout thresholds, payout delays, and second-tier commissions; therefore, no affiliate commission is earned except as expressly designated by the Company for the relevant Inspect Record offer.

·       No Commission is due on taxes, payment processor fees, refunded transactions, canceled memberships, chargebacks, disputed charges, fraudulent transactions, test orders, self-referrals, or any transaction that does not qualify under this Agreement.

·       If the Company offers recurring commissions on memberships, those commissions apply only while the customer remains active, paying, and properly attributed to the affiliate, and only to the extent stated in the applicable offer terms.

8. Tracking and Attribution

·       Commissions are based on the Company’s and/or Systeme.io’s tracking records.

·       Systeme.io states that affiliate tracking is tied to an affiliate ID and that contacts and referrals can remain identified with that ID in the database over time.

·       The Company is not responsible for lost attribution resulting from broken links, overwritten attribution, browser restrictions, ad blockers, privacy tools, technical failures, deleted cookies, incorrect URLs, manual coupon use without tracking, or similar causes outside the Company’s direct control.

·       In the event of conflicting claims over attribution, the Company will make the final determination in good faith based on the available tracking and account data.

9. Payout Timing and Methods

·       The Company may set a payout threshold and payout delay before a Commission becomes payable.

·       Systeme.io’s documented default affiliate-program configuration includes a 40% default commission, a minimum payout amount of $30.00 in the applicable currency, a second-tier commission setting of 0%, and a default payout delay of 30 days, with invoices generally generated on the 10th of each month.

·       Inspect Record may adopt different values from those defaults at its discretion, and any such program-specific terms will control for the Inspect Record program.

·       Systeme.io provides payment-method support for PayPal and wire transfer for receiving affiliate commissions, and also supports automated payouts through connected PayPal or Wise workflows in qualifying circumstances.

·       The affiliate is solely responsible for ensuring that its payout details are valid, complete, and current.

·       The affiliate is responsible for any taxes, reporting obligations, bank charges, currency conversion fees, transfer fees, or similar costs arising from payout receipt.

10. Holds, Reversals, Refunds, and Chargebacks

The Company may hold Commissions during a verification or refund-protection period. Systeme.io documentation specifically recommends aligning payout delay settings with the business’s terms and conditions, particularly where an offer has a money-back guarantee.

If a transaction is refunded, reversed, charged back, disputed, found fraudulent, or otherwise invalidated, the associated Commission is not earned or may be reversed. If already paid, the Company may offset the amount against future Commissions or require repayment where permitted by law.

11. Affiliate Responsibilities

The affiliate agrees to:

·       Promote Inspect Record honestly, lawfully, and professionally.

·       Use only accurate and current descriptions of Inspect Record memberships, pricing, benefits, and limitations.

·       Use only approved branding, messaging, and promotional assets where the Company requires approval.

·       Clearly disclose the affiliate relationship wherever required by applicable law, advertising rules, or platform policies.

·       Comply with all applicable laws, regulations, and standards relating to marketing, privacy, data protection, anti-spam, endorsements, consumer protection, competition, and intellectual property.

·       Maintain the confidentiality and security of account credentials and payout details.

12. Prohibited Conduct

The affiliate may not:

·       Make false, misleading, deceptive, or unsubstantiated claims about Inspect Record or its memberships.

·       Misrepresent itself as Inspect Record or as an authorized employee or agent of Inspect Record.

·       Use spam, mass unsolicited messaging, unlawful text marketing, or unlawful robocalls.

·       Use cookie stuffing, bots, forced clicks, fake leads, fake purchases, self-referrals, or any attempt to manipulate tracking or attribution.

·       Offer unauthorized discounts, rebates, credits, or incentives unless approved in writing.

·       Bid on misleading brand terms, impersonate the Company in domains or social accounts, or create pages that falsely suggest official affiliation or endorsement.

·       Use promotional content that is defamatory, abusive, discriminatory, obscene, unlawful, or likely to harm the reputation of Inspect Record.

13. Brand Features and Intellectual Property

·       The Company may provide logos, marks, copy, images, videos, or other promotional materials for affiliate use.

·       The affiliate receives a limited, revocable, non-exclusive, non-transferable license to use approved materials solely to promote eligible Inspect Record offers under this Agreement.

·       The affiliate may not alter trademarks or brand assets in a misleading or damaging manner.

·       All right, title, interest, and goodwill in Inspect Record’s trademarks, content, software, memberships, materials, and other intellectual property remain exclusively with the Company.

14. Communications and Automation

The Company may use Systeme.io automations, tags, campaigns, and emails to identify affiliates, send onboarding materials, provide affiliate links, communicate program updates, and manage affiliate workflows. Systeme.io documentation recommends a dedicated affiliate opt-in page and automatic tagging to distinguish affiliate contacts from other contacts.

The affiliate consents to receiving program-related communications electronically, including by email through the Platform.

15. No Guaranteed Earnings

No revenue, sales volume, or minimum earnings are promised. Affiliate results depend on the affiliate’s audience, traffic, marketing methods, market conditions, offer fit, pricing, conversion performance, and customer behavior.

16. Compliance With Laws

The affiliate is solely responsible for legal compliance in all jurisdictions where it markets. This includes, without limitation, compliance with advertising disclosure obligations, anti-spam laws, privacy and data laws, intellectual property rights, and any industry-specific rules applicable to the affiliate’s audience.

17. Confidentiality

Any non-public information disclosed by the Company to the affiliate, including internal business information, pricing strategy, launch plans, customer information, or unpublished program terms, is confidential and may be used only as necessary to participate lawfully in the affiliate program.

18. Suspension and Termination

·       This Agreement begins when the affiliate is approved or otherwise activated in the program and continues until terminated.

·       Either party may terminate this Agreement at any time by notice, subject to any mandatory legal requirements.

·       The Company may suspend or terminate an affiliate immediately for fraud, suspected fraud, breach of this Agreement, reputational risk, legal risk, misuse of brand assets, or noncompliance with law or platform rules.

·       Upon termination, the affiliate must stop using all affiliate links, brand assets, and promotional materials related to Inspect Record.

·       Unpaid Commissions relating to disqualified, disputed, fraudulent, reversed, or non-final transactions may be withheld or forfeited to the extent permitted by law.

19. Changes to the Program or Agreement

The Company may modify this Agreement, the commission structure, the payout threshold, the payout delay, the available offers, the promotional rules, or any other program parameter at any time by posting updated terms or providing notice through Systeme.io, email, or another reasonable method. Continued participation after notice constitutes acceptance of the revised terms, to the extent permitted by law.

20. Disclaimer of Warranties

The affiliate program, affiliate dashboard, tracking functions, emails, payout workflows, and all related materials are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, the Company disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

21. Limitation of Liability

To the maximum extent permitted by law, Inspect Record will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of revenue, profits, goodwill, data, or business opportunity arising out of or relating to this Agreement or the affiliate program, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the Company’s aggregate liability arising out of or relating to the affiliate program will not exceed the total Commissions paid or payable to the affiliate under this Agreement during the six months immediately preceding the event giving rise to the claim.

22. Indemnification

The affiliate agrees to defend, indemnify, and hold harmless Inspect Record and its owners, directors, officers, employees, contractors, successors, and assigns from and against any claims, demands, actions, losses, damages, liabilities, judgments, settlements, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to:

·       The affiliate’s participation in the program.

·       The affiliate’s marketing content, representations, or omissions.

·       The affiliate’s breach of this Agreement.

·       The affiliate’s violation of any law or third-party right.

23. Governing Law and Dispute Venue

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of law rules.

Any dispute, claim, or controversy arising out of or relating to this Agreement or the affiliate program will be brought exclusively before the courts located in Ontario, Canada, unless the parties agree in writing to another dispute-resolution process. Each party attorns to the exclusive jurisdiction of those courts.

24. Good-Faith Dispute Resolution

Before commencing formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute by written notice and informal discussions. If the dispute is not resolved within a reasonable time after notice, either party may proceed in accordance with the governing law and venue provisions above.

25. General Provisions

·       This Agreement constitutes the entire agreement between the parties regarding the affiliate program and supersedes prior or contemporaneous communications on that subject.

·       If any provision is found invalid or unenforceable, the remaining provisions will remain in full force to the extent permitted by law.

·       Failure to enforce any provision is not a waiver of future enforcement.

·       The affiliate may not assign this Agreement without the Company’s prior written consent.

·       The Company may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its business or assets.
